Dr. Batsbak arrived at The Ring. After being greeted by the secretary, Dr. Batsbak was asked to wait in the room in front of Mr. Reber's office.
After a few minutes, someone opened the door to Mr. Reber's office. It was Mr. Reber himself. He asked Dr. Batsbak to enter his office and offered him a seat right in front of his desk.
After a short chat, Dr. Batsbak handed Mr. Reber a pre-made contract.
Merger Agreement between Daumann Heavy Construction and Deep Space Research

Parties:
Daumann Heavy Construction, registered at The Ring, New Berlin.
Deep Space Research, registered at Arnsberg Research Institute, New Berlin.
Introduction:
Daumann Heavy Construction and Deep Space Research, hereinafter referred to as "the Parties," have entered into this merger agreement in accordance with applicable laws and regulations. This document delineates the terms and conditions governing the merger.
Conditions of the Merger:
Corporate Merger:
The Parties hereby agree that Deep Space Research shall be merged into Daumann Heavy Construction through acquisition. Upon completion of the merger, Daumann Heavy Construction shall emerge as the surviving entity, while Deep Space Research shall cease to exist as an independent entity.
Management and Employees:
The management team and employees of Deep Space Research shall undergo integration into the organizational structure of Daumann Heavy Construction. A comprehensive review of roles and responsibilities shall be conducted to ensure a seamless integration process.
Customers and Suppliers:
Daumann Heavy Construction shall assume all existing customer and supplier contracts of Deep Space Research. Utmost efforts shall be made to ensure the uninterrupted continuity of these business relationships.
Brands and Intellectual Property:
The brands and intellectual property rights belonging to Deep Space Research shall be amalgamated into Daumann Heavy Construction and afforded due protection.
Legal and Regulatory Requirements:
The merger shall be contingent upon obtaining approval from the relevant authorities and adherence to all pertinent legal and regulatory provisions.
Transfer of Deep Space Research Ships:
As an integral aspect of the merger, all spacecraft owned and operated by Deep Space Research, with the exception of the New Horizon spacecraft, shall be transferred to the fleet of Daumann Heavy Construction. These spacecraft shall be seamlessly integrated into the operational framework of Daumann Heavy Construction.
Appointment of Head Scientist:
Dr. Richard Batsbak, the incumbent lead scientist at Deep Space Research, shall assume the position of Head Scientist within the Research and Development (R&D) Department of Daumann Heavy Construction. In his capacity, Dr. Batsbak shall spearhead the R&D initiatives of the merged entity, overseeing scientific research and technological development endeavors.
Integration of R&D Teams:
Dr. Batsbak shall collaborate closely with the existing R&D teams of both Daumann Heavy Construction and Deep Space Research to facilitate the integration of research efforts and foster interdisciplinary collaboration. He shall harness the collective expertise of the R&D teams to drive innovation and enhance the competitive edge of the merged entity.
Allocation of Resources:
Daumann Heavy Construction shall allocate adequate resources and extend full support to the R&D Department under Dr. Batsbak's leadership. This shall encompass financial backing, provision of requisite infrastructure, and access to cutting-edge equipment and technology, thereby enabling the seamless execution of research projects and initiatives.
Compensation for Dr. Richard Batsbak:
As part of the merger agreement, Daumann Heavy Construction agrees to provide Dr. Richard Batsbak with a one-time payment of 20 million Sirius Credits as compensation for his role as Head Scientist within the Research and Development (R&D) Department. This compensation shall be disbursed within 30 days of the effective date of the merger.

Confidentiality:
The Parties shall uphold strict confidentiality with regard to the contents of this agreement and shall refrain from divulging any information without prior written consent from the other Party.
Applicable Law:
This agreement shall be governed by the laws of Rheinland and shall be construed in accordance therewith.
Entire Agreement:
This agreement constitutes the entirety of the understanding between the Parties and supersedes all prior agreements, whether oral or written, pertaining to the subject matter herein.
