Sinceramente Senior Aurelio de Cruz,
My apologies for the delay in responding. In all earnest I must admit that I am not only the director of the MFE Academy but, and this is my most important profession, also a mother of a 2-year old daughter.
Following your most recent correspondence and the generous adjustment of terms, I am pleased to confirm that The Academy accepts the buy and re-purchase prices as proposed: $35 per unit for deposit and $65 per unit for collection.
In the spirit of clarity, cooperation, and mutual respect, I wish to set forth the framework for our arrangement so that both parties may operate with confidence and foresight. You see, trust and honor are something we both agree on yet, especially when commercial matters come into play, a formal agreement is something we should honor as well. For this reason I had my legal counsel draw up a contract which I named 'Vitala Secure'. Please go over this (see below) and let me know what your thoughts are.
As the director of the MFE Academy I very much value your trust in us and in me as director. This agreement can be a valuable one standing on the strong agreement of the Theta Accord. One agreement where not only two parties can benefit from, but a pavement towards a peaceful Theta system.
Looking forward to hear from you,
Kind regards,
Jill Xi, PharmD, Director, Med Force General Academy, Omicron Theta Med Force Enterprises
Draft agreement on storing Military Salvage on the Med Force General Academy station.
1. Purpose & Prices
The Academy will provide secure storage for goods belonging to The Imperio at the agreed rates of $35 per unit (deposit) and $65 per unit (collection), yielding a $30 per unit margin for The Academy.
2. Storage Capacity
A guaranteed capacity of 30,000 units, with a maximum limit of 50,000 units at any given time.
Any request to exceed the maximum must be agreed to in writing beforehand.
3. Monthly Throughput
Long-term storage will be conditional upon a minimum movement of 30,000 units per month (goods deposited and subsequently collected).
Should this threshold not be met for two consecutive months, The Academy reserves the right to conclude the arrangement immediately.
4. Ownership & Liability
All stored goods remain the property of The Imperio unless otherwise forfeited under this Agreement.
The Academy will not be held liable for any sale of goods to third parties should such goods be made publicly available by The Imperio.
The Imperio accepts responsibility for insuring stored goods; The Academy bears no liability for losses or damage caused by events beyond its control, including but not limited to war, embargoes, piracy, natural disasters, or mechanical failure.
5. Termination
The Academy may, at its discretion, end this Agreement with 10 days’ written notice.
The Imperio will remove all goods prior to the end date.
Goods remaining thereafter will be considered forfeited and become the property of The Academy without compensation.
6. Embargoes & Access
The Imperio assures that this Agreement will not subject The Academy to any embargo or trade restriction.
Free and unrestricted access to The Academy will be guaranteed for all persons seeking medical care, education or visit, without discrimination.
7. Neutrality & Accord Compliance
The Imperio will refrain from any actions that might compromise The Academy’s impartial standing, disrupt the activities of visitors, suppliers, or patients, or undermine its reputation.
This Agreement shall not, in any way, alter the Theta Accord, to which The Academy remains committed.
8. Friendship & Good Faith
This Agreement is entered into in good faith and with the understanding that it is a partnership between friends.
Either party may end the Agreement at any time, for any reason, while maintaining cordial relations.
9. Dispute Resolution
Should a disagreement arise, both parties will first seek resolution through direct dialogue.
If necessary, the matter may be referred to a mutually agreed upon neutral mediator.
If these terms are acceptable, I will be pleased to have them formally noted and to instruct my staff to prepare for the initial receipt of goods.
With respect and anticipation of a fruitful collaboration,
Jill Xi, PharmD Director, Med Force General Academy, Omicron Theta Med Force Enterprises
