We have a serious issue that I only realized now, while actual dev-work is going on smoothly, and the morale is high, we lack people that can write infocards, system infocards, weapon infocards, basic lore, advanced lore, past lore, and RP lore.

HIRING OF THE ALMIGHTY IDEA GIVER DUDE

This Agreementdated as of ________, 2008 between the (PARTICIPANT COMPANY), a for-profit corporation organized under the laws of _________ (hereafter referred as THE IG ORGANIZATION), and the Pollution Prevention Resource Center (DAU), a not-for-profit corporation (hereafter referred as DAU) organized under the laws of the State of Washington, (collectively the parties or Project Team).

RECITALS

1. DAUDAU is organizing a recruitment of the idea giving dude in or around the recruiting area of expertise. The target Project time period is one year, beginning in the second quarter of 2011. After the initial year of the Project, the Project may continue on an annual basis. The recruited will have the option of renewing their commitments for subsequent years.

2. The parties agree and acknowledge that this Contract will not be effective if DAUDAU does not receive sufficient total funding from participant companies and sponsoring agencies.

AGREEMENTS

In consideration of the mutual agreements and covenants contained herein, the IG Organization and DAUDAU agree as follows:

1. Organization Information. The IG Organization shall provide all appropriate information reasonably requested from time to time by DAUDAU and its subcontractors pertaining to its industrial operations in the Project Area in a reasonable form requested by DAUDAU necessary to perform the Project Deliverables set forth in this Agreement. The IG Organization reserves the exclusive right to decide questions of appropriateness and reasonableness. All such IG Organization Information is subject to the Confidentiality provisions in Paragraph 5.

2. Services to be Performed.
2.1 DAUDAU shall perform in conjunction with its subcontractors, all services as detailed in Attachment A, Scope of Work. The parties agree and acknowledge that the statement of work, described in Attachment A, may be modified if DAUDAU does not receive sufficient total funding from participant companies to accommodate the timeliness and extent of funding.
2.2 DAUDAU represents that it has and shall supply to THE IG ORGANIZATION appropriate personnel to perform the services detailed in the statement of work by qualified staff ('€œDAUDAU project team members'€). DAU guarantees that all services performed pursuant to this Agreement shall be performed in a professional manner in accordance with the highest industry standards.

3. Project Cost.
3.1 Subject to the limitations provided herein, to participate in the Project, THE IG ORGANIZATION shall pay DAUDAU GSC5,000 towards the total project cost (GSC2500 for organizations with fewer than 5 employees).
3.2 DAUDAU shall bear all necessary and normal expenses of providing services or any obligations under this Agreement.

4.Organization Supplied Materials/Services.
It is the IG Organization'€™s responsibility to collect and submit all Project data on the schedule and in the format designated by The Project Team. This will include process data from each of the participating Business Units. Data will include raw material and by-product quantities and chemical characteristics as well as process descriptions and process flow diagrams representing business unit manufacturing processes. THE IG ORGANIZATION will also be responsible for assisting with internal communications, meeting arrangements and logistics, attendance at meetings and overall project guidance.




5. Confidentiality.
5.1 DAUDAU and its sub-contractors shall abide by the following confidentiality language: DAUDAU shall maintain the confidentiality of all confidential information provided by THE IG ORGANIZATION and identified as such ('€œOrganization Confidential Information'€) and will not use or disclose such Organization Confidential Information to others without the prior consent of THE IG ORGANIZATION except for the purpose contemplated herein or when such use or disclosure is required by order of a court or governmental agency. Prior to disclosing Organization Confidential Information to companies participating in the Project (Participant Companies), such Participant Companies shall be bound by confidentiality provisions substantially similar to those contained in this section. Th IGe Organization shall maintain the confidentiality of all confidential information so identified and provided to the IG Organization by DAUDAU ('€œProject Confidential Information'€) and will not use or disclose such Project Confidential Information to others without the prior written consent of DAUDAU, except when such use or disclosure is required by order of a court or governmental agency. Information that is generally known to the public other than as a result of a breach of this section, or that has been disclosed to DAU or a Participant Organization, as the case may be, on a non-confidential basis by third parties who have a right to do so shall not be deemed Confidential Information or Project Confidential Information for purposes of this section. The terms of this section shall survive, and remain in effect following any termination of this Agreement for a period of five (5) years. DAU shall be allowed to publish or grant rights to publish information regarding the Project, provided that no Confidential Information of THE IG ORGANIZATION is disclosed or able to be discerned from the publication.

5.2 Any subcontractors employed by DAU to perform under this Agreement shall be required to jointly execute a confidentiality agreement with THE IG ORGANIZATION, within a reasonable time, upon entering into an agreement with DAU to participate in the By‑Product Synergy Project located in the Project Area. In the event that a confidentiality agreement is not jointly executed with Organization within a reasonable time, THE IG ORGANIZATION has the right to immediately terminate this Agreement, withdraw from the Project and recover 100% of fees paid by THE IG ORGANIZATION under this Agreement.

6. Terms and Termination.
6.1 The terms of this Agreement shall extend from the date of the first working group meeting and expire one (1) year from the start date of the Project. Participant may opt to renew this agreement on an annual basis.
6.2 Termination for Default
(a) Organization may terminate this Agreement for default, in whole or in part, if, after 10 days from Organization's written notice, DAU fails to comply with any of the terms of this Agreement, fails to make progress, so as to endanger performance of this Agreement, or fails to provide adequate assurance of future performance. In that event, Organization shall not be liable for any services or supplies not accepted.

(b) If this Agreement is terminated for default, Organization may require DAU to deliver to Organization any supplies and materials, manufacturing materials, and manufacturing drawings that DAU has specifically produced or acquired for the terminated portion of this Agreement and for which Organization has paid DAU. Organization shall pay the agreed upon price for services performed and accepted in addition to completed supplies delivered and accepted. Organization and DAU shall agree on the amount of payment for all other deliverables.

© DAU shall not be liable to Organization for delays in performance occasioned by causes beyond DAUs or its supplier'€™s or subcontractors'€™ reasonable control and without its fault or negligence.

(d) The rights and remedies of Organization in this clause are in addition to any other rights and remedies provided by law or under this Agreement.

(e) This agreement may be terminated for convenience on 30 days' written notice or if either party fails substantially to perform through no fault of the other and does not commence correction of such nonperformance within 5 days of written notice and diligently complete the correction thereafter.
7. Compliance with Law.
7.1 DAU shall comply with all applicable federal, state, and local laws and ordinances, all pertinent orders, directives, rules, and regulations and such compliance shall be a material requirement of this Agreement.

7.2 DAU shall include this clause in all subcontracts, at any tier, involving the performance of this Agreement.

8. Notices. Whenever under this Agreement one party is required or permitted to give notice to the other, such notice shall be in writing and delivered by hand, facsimile, overnight mail, or United States mail to the attention of:

9. Governing Law. This Agreement shall be construed in accordance with the law of the state of Washington. Any controversy under this Agreement shall be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. The seat of arbitration shall be Olympia, Washington, and the arbitration shall be conducted in the English language. Each party shall have the right to appoint one arbitrator and the appointed arbitrators shall jointly appoint the third arbitrator. The award of the arbitrators shall be final and binding. The arbitrators are expressly empowered to award one or both parties costs and fees.

10. Successors and Assigns. All of the provisions hereof shall inure to the benefit of and be binding upon the respective successors and assigns of the parties hereto; provided, that neither party shall assign this Agreement without the prior written consent of the other party hereto.

11. Interpretation. The headings of articles, sections and other subdivisions of this Agreement have been inserted for convenience of reference only and shall in no way restrict or otherwise modify any of the terms or provisions hereof or affect in any way the meaning or interpretation of this Agreement. All provisions of this Agreement were negotiated by the parties hereto and this Agreement shall be deemed to have been drafted by each of the parties hereto.

12. Number of By-Product Synergies Identified. DAU does not guarantee the number or success of by-product synergies that are created or implemented as a result of the execution of this Project.

13. By-Product Synergy Implementation. DAU is not responsible for the actual implementation of by-product synergies that may result from the execution of this Project. Final implementation of the identified by-product synergies will be at the sole discretion and investment of THE IG ORGANIZATION.

14. Limitation of Liability. Except for breach of confidentiality obligations hereunder, neither party herein shall be responsible for the other party'€™s consequential damages, loss of profit or operations, or any such impact that results from the execution of this Project or any other obligation under this Agreement, whether such liability arises in contract, tort, or any other cause of action.

15. Site Safety/Security. In the event that services are provided on THE IG ORGANIZATION property, DAU agrees that any and all services provided on THE IG ORGANIZATION property shall be performed in accordance with the terms and conditions of the applicable Organization site'€™s rules and procedures for service contractors. DAU shall comply with any other plant site or office rules and procedures for the locations at which DAU will provide services provided such site or office rules and procedures are provided to DAU. In addition, DAU shall maintain records of all recordable injuries or illnesses (as defined by any government entity) occurring to DAU Employees or subcontractors while performing services. DAU shall provide copies of such records to THE IG ORGANIZATION upon request.

16 Non-exclusivity. THE IG ORGANIZATION reserves the right to perform any services not covered by this Agreement or purchase orders or addenda issued hereto and may award contracts to others for such services. DAU shall fully cooperate with THE IG ORGANIZATION or with such other contractors and carefully fit its own Services with the services of THE IG ORGANIZATION and such other contractors as may be directed by THE IG ORGANIZATION. DAU shall not commit or permit any act which will interfere with the performance of services by THE IG ORGANIZATION or by any other contractor.

17. Independent Contractor. DAU is an independent contractor and shall assume all the rights, obligations and liabilities applicable to it as such independent contractor. Any provision in this Agreement which may appear to give THE IG ORGANIZATION the right to direct DAU as to the details of performing the Services or to exercise a measure of control over the Services shall be deemed to mean that DAU shall follow the desires of THE IG ORGANIZATION in the results of the Services only. Neither DAU nor any of its employees or agents shall be considered an employee or agent of THE IG ORGANIZATION, nor shall any partnership, co-venture or joint-employer relationship be created by virtue of this Agreement or of its performance. All persons engaged by DAU, either as employees or agents to assist DAU in the performance of this Agreement, will be of its own selection, for its own account, at its own expense and under its supervision. No prior course of dealing or performance between THE IG ORGANIZATION and DAU shall be of any effect to modify in any respect DAU's status under this Agreement as an independent contractor.

18. Indemnification. To the fullest extent permitted by law, DAU, including all subcontractors, agrees to protect, indemnify and hold harmless THE IG ORGANIZATION, its agents, officers and employees from and against, any and all losses, expenses, demands and claims made against THE IG ORGANIZATION, its agents, officers and employees, by DAU or its subcontractors, or any employee, agent or officer of DAU or its subcontractors, or any third party, including any injury or alleged injury (including death and/or disease), or property or other damage, actual or alleged, except to the extent caused by the negligence of THE IG ORGANIZATION, which arise out of or are in any way related to: (i) DAU or its subcontractors, or any employee, agent or officer of DAU or its subcontractors, presence on premises owned, operated or leased by THE IG ORGANIZATION or under the control of THE IG ORGANIZATION; (ii) DAU or its subcontractor'€™s performance of Services; and (iii) DAU or its subcontractor'€™s breach of any provision of this Agreement or any applicable purchase order, release or other agreement. DAU agrees to defend any suit, action or cause of action brought against THE IG ORGANIZATION, its agents, officers or employees, based on any such alleged injury or damage and to pay all damages, costs, and expenses, including settlements, judgments and attorney's fees, in connection therewith or resulting therefrom, other than that attributed to THE IG ORGANIZATION, its agents, officers or employees negligence.

19. Amendments. This Agreement shall be amended only by a written instrument executed by THE IG ORGANIZATION and DAU.

20. Entire Agreement. This Agreement, with its attachments, embodies the complete, exclusive and final agreement between the parties with respect to Services and supersedes any and all other communication, written, oral or otherwise between the parties.

Task 1. Finalize Scope and Project Team
A Project Team has been organized with Debra Taevs (DAU) as Project Coordinator, Andy Mangan (US BCSD) as Project Advisor, ENSR (formerly RETEC) and Pacific Northwest National Laboratory Battelle Seattle Research Center (Battelle) as Technical Leaders, Pollution Prevention and Regulatory Assistance Section Washington State Department of Ecology as Project Oversight, Local Hazardous Waste Management Program Public Health-Seattle & King County and the Network for Business Innovation and Sustainability (NBIS) as Project Partners. US BCSD, ENSR, Battelle and NBIS will enter into subcontracting agreement with DAU.

The scope will be finalized after the number and diversity of participating companies is established and funding is secured. The project kickoff meeting was held June 28, 2007 and plans are being made for all related actions and tasks for the project team.

A Project web site was launched by DAU for information dissemination about the project to the general public. A confidential website for access by Network members will be launched as part of the implementation of the project.

Task 2. Project Kickoff
A project kickoff meeting was held to introduce the project to PARTICIPANT COMPANIES and those that might participate in the IGD RECRUITMENT but have not yet joined. The By-Product Synergy process, history and results were outlined and the Project objectives, data collection process and template introduced. A facilitated session will follow (target date in March 2008) in which network members will be asked to talk about their products, raw material needs, and unused co-products or by-products disposition practices. Participants will be also asked to offer their opinion on what are potential uses for their co-products, or what can be done to modify the characteristics to make their co-products useful to another facility. This session will begin with each participant sharing information about their processes, material flows and resource needs. Minutes for the kickoff meeting will be prepared by the Project Manager.

Task 3. Data Collection
The Technical Leaders will be responsible for data collection for this project. Designated representatives from each participating organization will be responsible for completing and submitting Data Collection Templates on an agreed completion date. The data collection templates will catalogue inputs, products, co-products and wastes that are potential by-products. It is essential that participating organizations complete the data collection templates and submit them on the designated due date since the data are the building blocks to forming potential synergies.

The Technical Leaders will manage and maintain communications with all participating companies during the data collection process. The purpose of these communications is to review the data collection template, the objectives of the data collection process, follow up on the facilitated brainstorming sessions and to answer any questions that the participant may have.

Task 4. Data Analysis
Once data has been collected and compiled, the Technical Leader will upload the data collection templates to the project'€™s confidential web site for reference by project members. The data provided by Participant Companies will be in the format provided in the data collection template. Only the Project Team, Project Participants and those who are involved in the data analysis will be provided access to the web site due to the confidential nature of the information.

An independent review of the database will be conducted by the Project Team and an advisory council made up of senior engineering/process professionals from the Project Team and from select outside consultants, all of whom will be required to sign confidentiality agreements. The objective of this analysis is to provide an external view of synergy ideas early in the project to help guide participants. Participants will also be encouraged to seek out synergies that may have been hindered in the past under federal regulatory statutes. The US EPA has expressed support for using the BPS process to identify material reuse alternatives that produce higher environmental net benefit than current regulations allow. US Department of Energy has encouraged IGD RECRUITMENTs that can achieve energy conservation achievements.

Task 5. Working Meetings
The material flow interchange that began in the Kickoff Meeting will continue in subsequent working meetings during which participants will progressively share more details of one another'€™s material flows and process by-products to identify and prioritize synergies.

The Project Manager and Project Advisor will co-facilitate these meetings, supported by the Project Oversight and Technical Leaders who will assist in developing the content and facilitation tools relevant for productive discussions. The Project Manager will arrange logistics and ensure participation of team members in these meetings. The facilitators will set the tone for the working meetings, encouraging interactions and discussions. They will lay out the project schedule and milestones, introduce successive BPS steps using facilitation tools and techniques, and work with project working groups focused on specific synergy categories to formulate action plans and identify potential implementation barriers. The facilitators will emphasize the action-oriented nature of the project and the importance of adhering to milestones.

Once by-products have been catalogued from all participants, they will be ranked according to importance for local BPS participants. Those ranked as high priorities will garner the most attention in future working meetings. Working groups will be formed of participants who share interest in similar by-products (e.g., gypsum), material group (e.g., aggregates), or synergy issue (e.g., transportation). The goal of the working groups is to further evaluate and prioritize synergies for opportunities that have the best chance for success. Synergy Project Templates will define the opportunity, due diligence, scope, timeframes, barriers and resource needs to implement the synergies. The Project Team will continue to provide assistance in determining ways to overcome barriers to implementing priority synergies.

Task 6. Synergy Implementation and Evaluation
The Project Team will assist participants in establishing baselines from which to measure economic, environmental and societal synergy benefits and in monitoring and reporting the benefits received from implemented synergies. Project participants will initiate synergy implementation following the actions identified in the Synergy Project Templates. Participants from the participating companies will be responsible for implementation of the synergies. The Project Team will provide an initial Synergy Implementation Report highlighting results and opportunities specific to each participant.

Task 7. Project Management
The Project Manager will be responsible for the overall management and reporting of the IGD RECRUITMENT. The Project Manager will ensure the project is conducted on-time, on-budget and on-schedule. The Project Manager will also lead communications with the Project Team and be responsible for approving monthly status reports summarizing performance. The Project Team will be advised throughout the process by DAU steering committee.

Meeting Minutes '€“ The Project Team will prepare summary minutes for all BPS meetings and distribute to the Project Team
Potential Synergy Report '€“ The Project Manager and Technical Leaders will prepare the Potential Synergy Report after evaluation of Data Templates.
Synergy Implementation Report '€“ The Project Manager and Technical Leaders will produce an Initial Synergy Implementation Report summarizing synergies chosen for implementation.
Year-End Report '€“ Prepare a year-end report detailing the project status.

California System:

As the war raged, Liberty pulled all ships save the Yukon, in Los Angeles orbit, and two cruisers, the Jason Grace and it's sister, the Thalia Grace, were pulled back from thier posts and sent to the front

But, in the Vespucci system, the Hellfire Legion planned an attack. Waiting until a spy told them the Thalia and Jason Graces were at San Diego, the Legion jumped in with their flagship the Ven'Gyr and a full fighter wing. Caught by surprise, the Jason Grace was heavily damaged, managing to kamikaze and fire it's main gun,at point-blank rang, crippling the Ven'Gyr. The Thalia Grace opened up, but was disabled and captured by the Legion. Without the Naval units, San Diego fell.

At Los Angeles, the Yukon sent a distress call, and the Fifth Assault Fleet, lead by the carrier Los Angeles, jumped into California. The leader, Captain Zack Archer, ordered his fleet to reinforce the Yukon. This action saved both the Yukon and planet Los Angeles, but this decision sealed the fate for California Minor. The Legion overwhelmed the defenses and invaded, solidifying a base within the California system. If not for the quick action of the Fifth Fleet, Willard would have fallen.
The dreadnought Harmony, accompanied by the battlecruisers ThunderBay and Iwo Jima, as well as the seige cruisers Austin, Ohio, and Lake Michigan, immedietly moved to Willard, catching the already damaged Ven'Gyr. Knowing it was useless to try and fight Harmony and her escorts, Ven'Gyr retreated back to San Diego, where the Iblis and the Abbadon had come with reinforcments. Knowing an assault would mean heavy losses, the commander of the Ven'Gyr dispatced Iblis and Abbadon to reinforce California Minor.
Archer, meanwhile, reinforced the Yukon by placing the second dreadnought, the Arizona, nearbye, while ordering his fleet to hold Mojave and the jump gate to New York.

California System:

As the war raged, Liberty pulled all ships save the Yukon, in Los Angeles orbit, and two cruisers, the Jason Grace and it's sister, the Thalia Grace, were pulled back from thier posts and sent to the front

But, in the Vespucci system, the Hellfire Legion planned an attack. Waiting until a spy told them the Thalia and Jason Graces were at San Diego, the Legion jumped in with their flagship the Ven'Gyr and a full fighter wing. Caught by surprise, the Jason Grace was heavily damaged, managing to kamikaze and fire it's main gun,at point-blank rang, crippling the Ven'Gyr. The Thalia Grace opened up, but was disabled and captured by the Legion. Without the Naval units, San Diego fell.

At Los Angeles, the Yukon sent a distress call, and the Fifth Assault Fleet, lead by the carrier Los Angeles, jumped into California. The leader, Captain Zack Archer, ordered his fleet to reinforce the Yukon. This action saved both the Yukon and planet Los Angeles, but this decision sealed the fate for California Minor. The Legion overwhelmed the defenses and invaded, solidifying a base within the California system. If not for the quick action of the Fifth Fleet, Willard would have fallen.
The dreadnought Harmony, accompanied by the battlecruisers ThunderBay and Iwo Jima, as well as the seige cruisers Austin, Ohio, and Lake Michigan, immedietly moved to Willard, catching the already damaged Ven'Gyr. Knowing it was useless to try and fight Harmony and her escorts, Ven'Gyr retreated back to San Diego, where the Iblis and the Abbadon had come with reinforcments. Knowing an assault would mean heavy losses, the commander of the Ven'Gyr dispatced Iblis and Abbadon to reinforce California Minor.
Archer, meanwhile, reinforced the Yukon by placing the second dreadnought, the Arizona, nearbye, while ordering his fleet to hold Mojave and the jump gate to New York.
